Definitions for "Evergreen Clause"
A provision in a contract that provides for the automatic extension of the contract for specified periods beyond the primary term unless either party specifically elects to terminate the contract by giving the required notice prior to the anniversary date.
A section in a contract under which the contract is automatically renewed (typically for the same time length as the existing contract) unless the buyer, within a period stated in contract (e.g., at least 60 days before the end of the existing term), notifies the seller that he does not wish the contract renewed. Failure by the seller to notify the buyer that the "evergreen period" has started or is approaching does not typically release the buyer from the automatic renewal, unless so stated in the contract.
A contract clause that extends the contract beyond the initial term, perhaps on a month-to-month or year-to-year basis, until one of the parties gives a required notice of termination.
